1. Contractual Basis & Eligibility

These Wholesale Terms & Conditions govern all sales, supply agreements, quotations, and purchase orders executed between Pink Opal Trading LLC (‘Distributor’) and commercial clients (‘Buyer’), including retail stores, pharmacy chains, beauty salons, medical spas, and authorized e-commerce operators.

By issuing a Purchase Order (PO) or accepting a Commercial Proforma Invoice, the Buyer confirms they hold a valid trade license and agree to be bound by these Terms.

2. Minimum Order Quantities (MOQ) & Order Placement

Wholesale orders are subject to the following standard thresholds:

  • Opening Orders: Minimum opening order value of AED 2,500 across mixed brand SKUs.
  • Reorders: Minimum reorder value of AED 1,500.
  • Master Carton Units: Certain hero SKUs (e.g. Biodance Bio-Collagen Masks, COSRX Snail Mucin) are supplied exclusively in sealed manufacturer master cartons (typically 24 to 48 units).
  • Order Submission: Purchase orders must be submitted in writing via official purchase order forms or through our designated trade email: orders@pinkopalbeauty.com.

3. Pricing, Quotations & Value Added Tax (VAT)

All wholesale prices are quoted in United Arab Emirates Dirhams (AED) on an Ex-Works (EXW) or Delivered-at-Place (DAP) basis as stipulated on the quotation. Prices are exclusive of 5% UAE VAT, which will be itemized separately on all tax invoices in accordance with UAE Federal Tax Authority regulations.

Quotations remain valid for a period of 14 calendar days from date of issuance, subject to stock availability.

4. Payment Terms & Settlement Methods

Unless otherwise agreed in a formal Commercial Credit Agreement:

  • Standard Terms: 100% advance payment prior to dispatch via Corporate Wire / Bank Transfer or approved Corporate Card.
  • Established Trade Accounts: 30-day net terms may be extended following successful credit review and submission of corporate bank guarantees.
  • Banking Details: Payment must be made strictly to Pink Opal Trading LLC’s official corporate bank account in Dubai, UAE as stated on the proforma invoice.

5. Delivery, Cold-Chain Transit & Risk of Loss

Pink Opal maintains full cold-chain integrity (18°C–22°C) throughout warehousing and dispatch. Delivery terms within the UAE are fulfilled via climate-controlled courier networks within 24 to 48 hours of payment receipt.

Risk of loss and title of goods transfer to the Buyer upon physical handover at the designated delivery location or upon collection by the Buyer’s nominated freight forwarder.

6. 48-Hour Inspection Window & Returns Protocol

The Buyer is obligated to inspect all master cartons and outer tamper-evident seals immediately upon receipt. Any claims regarding transit breakage, carton discrepancy, or factory defect must be submitted in writing within 48 hours of delivery accompanied by photographic evidence and batch numbers.

Approved defect claims will be resolved via prompt stock replacement or commercial credit note. Opened, retail-damaged, or unsellable stock resulting from improper client storage cannot be accepted for return.

7. Authenticity, Batch Tracking & Resale Guidelines

Every unit supplied by Pink Opal is 100% authentic, imported directly from authorized South Korean manufacturers, and conforms to UAE MoIAT & Dubai Municipality standards. The Buyer agrees not to alter, obscure, or remove any original batch codes, Arabic regulatory labeling, or expiration markings.

8. Governing Law & Dispute Resolution

These Terms & Conditions shall be governed by and construed in accordance with the federal laws of the United Arab Emirates and the commercial regulations of the Emirate of Dubai. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the Dubai Courts.
